WaterDx Terms of Service
These terms are a contract between you and Sediment Technologies, LLC, a Florida limited liability company ("WaterDx", "we", "us"). They cover waterdx.ai, the WaterDx app, our kits and plans, our phone line and our alerts (the "Services").
By using the Services, you agree to these terms and to our Privacy Policy. If you don't agree, don't use the Services.
Please read Section 15. It limits our liability.
1. Who can use WaterDx
- You must be at least 18 and able to make a contract.
- If you use WaterDx for an organization (an HOA, a business, a government body), you confirm you may bind it to these terms.
- WaterDx is not meant for children.
2. Accounts
- You need an account to use the portal and to buy a plan online.
- Keep your password private. You are responsible for what happens in your account.
- Give us accurate information, including a working email.
- Tell us right away at [email protected] if you think someone has used your account.
3. What each service is, and what it isn't
3.1 Free satellite read
What it is: a screening estimate. We combine public satellite data (Sentinel-2 and CyFi), weather data (NASA POWER) and watershed data with the outline you trace and anything you upload. AI writes up the result.
What it isn't:
- It is not a water sample or a lab test.
- It is not regulatory-grade, and it cannot be used for permits or compliance.
- It cannot tell you whether water is safe to swim in, drink, fish in, or let pets or livestock near.
- Satellites can miss small, shaded or cloudy water bodies. Results can be wrong.
The read you see first is a preliminary, automated read. A WaterDx scientist reviews every read afterwards and follows up with you.
3.2 Pond Health Check ($179, one time)
What it is: a mail-in kit for one pond, with labeled sample bottles, a throw sampler for the pond bottom, filters, a clarity (Secchi) disk, a thermometer and a prepaid insulated return mailer. You collect the samples, freeze or chill them as the kit instructions say, and ship them back. Our lab measures them. You get a plain-English diagnosis and a ranked plan in your portal, and a call with a scientist. You get portal access for one year from purchase.

Toxin add-on: for fresh water only, you can add algal-toxin testing for $89. It tests for microcystin, anatoxin and cylindrospermopsin. It is available by request with your kit.
What it isn't:
- The standard kit does not test for algal toxins (unless you add the toxin add-on) or for bacteria. Even with the add-on, results cannot tell you whether water is safe for people, pets or animals.
- Lab standards: Samples are analyzed using standard EPA and APHA (Standard Methods) procedures with documented detection limits and uncertainty. Our lab is not NELAP-accredited; results are for diagnosis and management decisions, not regulatory compliance reporting. If you need certified results for a permit, tell us and we'll route your samples to an accredited lab at cost.
- Results depend on you collecting, storing and shipping samples as instructed.
3.3 Pond Monitoring ($299 per year, auto-renews)
What it is: the Pond Health Check plus one more lab checkup each year (two a year in all), satellite monitoring with bloom alerts, saved history, and vendor referrals. A plan bought online renews every year until you cancel. A plan ordered by phone or email (the only way to order today) does not renew automatically; we contact you before your year ends. See the Automatic Renewal Terms below.
3.4 Custom programs
Larger programs (sensors, drones, field sampling) are covered by a separate written agreement. If that agreement conflicts with these terms, the agreement controls.
3.5 Professional limits — for every service
- We diagnose and recommend. For the free read and the Pond Health Check, we do not carry out treatments: treatment is done by independent vendors you choose and hire. In a Custom program, depending on the treatment, we may carry it out ourselves or write the treatment specifications and work with a vendor you choose; who does what is set out in that program's written agreement.
- We do not provide engineering services. We do not prepare engineering designs or sign or seal plans.
- We do not apply pesticides, algaecides or herbicides.
- Nothing we provide is medical, legal, engineering or financial advice. If there is a health risk, contact your local health department. In Florida, report suspected harmful algal blooms to the Florida Department of Environmental Protection.
- Water changes with weather, season and time. A result describes conditions at the time measured or modeled.
4. Vendor recommendations
- We may point you to vendors who can carry out a treatment. We are independent. We do not sell treatment products, chemicals or equipment.
- We do not accept referral fees or commissions from vendors.
- Vendors are independent businesses. We do not employ, supervise or guarantee them. Your contract with a vendor is between you and the vendor. Check licenses, insurance and permits yourself.
5. Your content
"Your content" means what you give us: outlines, names, notes, files, photos, lab numbers and data.
- You own your content.
- You give us a non-exclusive, worldwide, royalty-free license to host, copy, process, analyze and display your content to provide and improve the Services. This includes sending it to our service providers, including AI providers.
- If you choose to put your water body on the public map, you also let us show its name, outline, location, type and size publicly until you ask us to remove it.
- You let us use your content in aggregated or de-identified form (so it does not identify you) for research, publications and product improvement, including a regional water-quality dataset. This license continues after you stop using the Services.
- You promise you have the right to share your content, and that it doesn't break any law or anyone else's rights.
- Don't upload personal information about other people unless you have the right to.
6. Acceptable use
Don't:
- break the law or anyone's rights;
- request reads or alerts for water bodies or phone numbers you have no reason to monitor in order to harass anyone;
- sign other people up for WhatsApp or text alerts without their permission;
- upload malware, or try to break, overload, scrape or reverse-engineer the Services;
- get around rate limits, bot checks, plan limits or access controls;
- resell the Services or present our results as your own work without permission;
- use our results to mislead a regulator, buyer or the public.
We may suspend or end access for anyone who breaks these rules.
7. AI-generated content
- Parts of our reads, diagnoses, chat answers and phone updates are written by AI. See How WaterDx uses AI.
- AI can be wrong, incomplete or out of date. Check important decisions with a scientist before acting.
- You may use AI output we give you for your own water body. Don't present it as a certified or regulatory result.
8. Payments
- Prices are in U.S. dollars and shown before you pay. Online payments are processed by Stripe, and Stripe's terms also apply.
- You authorize us to charge your payment method for what you buy, plus any taxes.
- We may offer promotion codes. Each has its own terms.
- If a payment fails, we may pause your plan features.
- We may change prices. For a subscription, a new price applies only at your next renewal and only after we notify you in advance (see the Automatic Renewal Terms).
9. Automatic renewal
The Pond Monitoring plan renews automatically every year until you cancel. The full terms, including how to cancel online, are in the Automatic Renewal Terms below. They are part of these terms.
10. Guarantee and refunds
Our clear-answer guarantee, kit returns and subscription refunds are in our Guarantee, Refunds and Shipping policy. It is part of these terms.
11. Shipping
- We ship kits to addresses in the 50 U.S. states, Puerto Rico and the U.S. Virgin Islands, and to the Caribbean.
- Inside the United States, Puerto Rico and the U.S. Virgin Islands, the price shown includes the kit and a prepaid return. For other Caribbean destinations, we quote custom pricing — call us at (573) 928-3739.
- Returns travel by USPS Priority Mail Express in the prepaid padded envelope we include, with an insulated pouch and a gel pack. No dry ice is used.
- Risk of loss passes to you when the kit is delivered to you, and back to us when the carrier accepts your return package.

12. Our property
The Services, our software, models, methods, reports and brand belong to us or our licensors. Our sediment technology is patent pending (U.S. Pub. 2024/0230613). These terms don't give you any right to our property except to use the Services as allowed here. Third-party data is credited on our Credits page and stays subject to its own license.
13. Third-party services
The Services rely on others (for example Stripe, Twilio, WhatsApp, map providers and public data agencies). We are not responsible for their services. Their terms may apply to you.
14. Disclaimers
TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT ANY TREATMENT WILL WORK, THAT A BLOOM WILL NOT HAPPEN, OR THAT WATER IS SAFE. This does not limit our written Clear-Answer Guarantee.
15. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, FISH KILLS, PROPERTY DAMAGE, OR THE COST OF TREATMENTS, EVEN IF WARNED THEY MIGHT HAPPEN.
- OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) WHAT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.
Some places don't allow these limits, so they may not fully apply to you.
16. Indemnity
You will defend and indemnify us, and our people, against claims, losses and costs (including reasonable attorneys' fees) arising from your content, your misuse of the Services, your breach of these terms, or your dealings with a vendor.
17. Ending these terms
You may stop using the Services at any time. Cancel a subscription as described in the Automatic Renewal Terms. We may suspend or end your access if you break these terms or if we stop offering a service. Sections 5, 12 and 14–19 survive.
18. Governing law and disputes
- Florida law governs these terms, without regard to conflict-of-law rules.
- Any lawsuit must be brought in the state or federal courts for Indian River County, Florida, and you and we consent to those courts.
- Either of us may bring a qualifying claim in small-claims court.
19. Changes to these terms
We may update these terms. We will post the new version with a new effective date. If a change is material, we will email you at least 30 days before it takes effect. Changes don't apply to disputes that arose before the change.
20. General
- These terms, the documents they refer to, and any order you place are the whole agreement between us about the Services.
- If part of these terms can't be enforced, the rest still applies.
- If we don't enforce a term, we haven't waived it.
- You may not transfer these terms without our consent. We may transfer them in a merger, sale or reorganization.

Automatic Renewal Terms
These terms apply to the Pond Monitoring plan ($299 per year). They are part of the WaterDx Terms of Service.
Orders by phone or email (how it works today). We aren't taking online orders yet. When you order by phone or email, one of our scientists confirms your order with you, including when your kit will ship, and arranges payment. A plan ordered this way does not renew automatically. Before your year ends we'll contact you, and the plan continues only if you tell us to. Items 3 to 7 and 9 below apply only to plans bought online once online ordering opens.

What you're buying. Pond Monitoring is a one-year plan. It includes the Pond Health Check plus one more lab checkup each year (two a year in all), satellite monitoring with bloom alerts, saved history and trend tracking, and vendor referrals.

Price. $299 per year, plus any applicable tax.

It renews automatically. Your plan renews every year on the anniversary of your purchase, and we charge the card on file $299 (or the new price we told you about in advance) until you cancel.

Reminder. We'll email you a reminder 30 days before each renewal with the date, the price and how to cancel. (This reminder is sent by our payment processor, Stripe.)

Price changes. If the price will change, we'll tell you in the reminder email, before you're charged. It takes effect only at renewal.

How to cancel. Cancel online at any time:
- sign in at waterdx.ai/portal;
- click Manage subscription;
- click Cancel subscription and confirm.
You can also email [email protected] or call (573) 928-3739. We process requests by email or phone within 1 business day and confirm by email.

When cancelling takes effect. If you cancel before your renewal date, you won't be charged again. Your plan stays active until the end of the year you've paid for.

Refunds. Full refund within 14 days of your first purchase if no kit has shipped; a renewal is refundable within 7 days of the charge if no kit has shipped in the new year. Details are in our Guarantee, Refunds and Shipping policy.

Failed payments. If a renewal payment fails, we'll email you. We may pause plan features until it's fixed.
